Terms of Service

These Terms of Service ("Terms") govern your access to and use of Agency Engine ("the Service"), operated by Blake Alexander ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

Summary of Terms of Service

  1. Use of the Service

Agency Engine is a software tool for web practitioners that converts client intake materials into structured build packages. You must use it lawfully and in line with these Terms.

  1. Key Definitions
  • Service: The Agency Engine web app and all related features, APIs, and tools.
  • User: Anyone who creates an account and accesses the Service.
  • Content: Anything you submit, such as client transcripts, scopes of work, brand assets, notes, and other inputs.
  • Build Package: Structured outputs generated from your Content (e.g., sitemaps, content docs, schema definitions, component maps, build plans).
  • API Key: The Anthropic API key you provide so the Service can run AI-powered pipelines.
  1. Account Registration

You must provide accurate, complete information and keep it updated. You’re responsible for safeguarding your credentials and all activity under your account. Notify the operator immediately of any unauthorized use.

  1. Your API Key (BYOK)
  • You must supply a valid Anthropic API key to use the Service.
  • The key is used only to execute pipeline runs on your behalf.
  • It is encrypted at rest with AES-256-GCM, never stored in plaintext, never visible internally, and never returned to your browser after submission.
  • You are responsible for all Anthropic API usage costs.
  • Your use of Anthropic via the Service is also governed by Anthropic’s own terms and policies.
  1. AI-Generated Output
  • Build Packages and other outputs are AI-generated and for informational/productivity purposes only.
  • They are not legal, financial, professional, or technical advice.
  • You must review, edit, and validate all outputs before using them in client work or elsewhere.
  • No warranties are made about accuracy, completeness, or fitness for a particular purpose.
  1. Payment and Billing
  • Some features require a paid subscription.
  • Billing is via a third-party payment processor.
  • By subscribing, you authorize recurring charges per your selected plan.
  • You may cancel anytime; cancellation is effective at the end of the current billing period.
  • No refunds for partial periods unless required by law.
  • Pricing may change with reasonable notice; continued use after changes means you accept the new pricing.
  1. Limitation of Liability
  • The Service is provided “as is” and “as available” with no express or implied warranties (including merchantability, fitness for a particular purpose, non-infringement).
  • To the maximum extent allowed by law, the operator is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill, even if advised of the possibility.
  • Total liability is capped at the amount you paid in the 12 months before the claim.
  1. Governing Law
  • These Terms are governed by the laws of Ontario, Canada, excluding conflict-of-law rules.
  • Disputes will be resolved in the courts of Ontario, Canada.
